1. Who we are

Hbeich Legal is the practice of Gracia Hbeich, a lawyer practising in Lebanon. Contact: gracia.hbeich@gmail.com.

2. This website is not advice

Everything on this site is general information about Lebanese company structures. It is not legal, tax or financial advice, it is not tailored to your circumstances, and it should not be relied on as a substitute for advice on your own situation.

Reading this site, emailing us, or paying the engagement fee does not by itself create a lawyer–client relationship. That relationship begins only when we have both signed an engagement letter setting out the scope of the work.

3. Fees and what they cover

The fixed fee quoted on this site covers the incorporation of a Lebanese offshore SAL: structure advice, drafting, notarisation, the registered address file, filing with the Commercial Registry of Beirut and registration with the Ministry of Finance, together with the third-party costs itemised on the pricing section.

It does not cover:

• Your share capital, which is deposited into your own company's bank account and remains yours
• Your auditor's annual fee, which you agree directly with them
• The annual lump-sum tax and other amounts payable to the Lebanese state
• Work outside the agreed scope, including disputes, contract drafting, or restructuring after incorporation
• Consular legalisation abroad, where you are outside Lebanon

Government fees, notarial charges and stamp duties are set by third parties and occasionally change mid-process. If that happens, you will be told before anything is paid, and given the receipts.

4. Payment and refunds

Consultations are charged separately and are payable in advance. That fee covers the advice given on the call, whatever the outcome, and is not refundable.

An initial engagement fee then opens the file and reserves the company name. The balance falls due when your documents are ready for signature.

If, after the initial review, an offshore SAL is not the right structure for you and we decline the engagement, the engagement fee is refunded in full.

Once drafting has begun, the engagement fee is non-refundable, because the work it pays for has been done. Amounts already paid to third parties, such as the notary, the registry and translators, cannot be recovered once spent. If you withdraw part-way, you are given every document produced to that point.

5. What we do not promise

Timelines depend on the Commercial Registry, the notary public, the Ministry of Finance and, above all, on how quickly signed originals come back from you. Estimates given on this site are estimates.

Bank account approval is entirely at the discretion of the bank. Lebanese banks treat offshore companies as higher-risk clients and apply their own onboarding criteria. We will prepare the strongest possible file and advise on the approach; we cannot and do not guarantee that an account will be opened.

6. Your obligations

You confirm that the information and documents you give us are true and complete, that the activity the company will carry on is lawful, and that the funds involved come from a lawful source. We are required to carry out identity and source-of-funds checks and may decline or discontinue an engagement on that basis.

An offshore SAL may not serve clients resident in Lebanon or employ people resident in Lebanon. Keeping the company within its permitted scope after incorporation is your responsibility.

7. Confidentiality

Everything you tell us is confidential and protected by professional secrecy, with the narrow exceptions imposed by Lebanese law, principally anti-money-laundering reporting obligations.

8. What we collect and why

If you email or message us, we hold what you send: your name, contact details and whatever you tell us about your situation. If you engage us, we additionally hold the documents the incorporation requires: passport, property documents, judicial record extract and related material.

This is used for one purpose: doing the legal work you asked for, and meeting the record-keeping and anti-money-laundering obligations that come with it. It is never sold, and it is shared only with the parties the incorporation itself requires: the notary, the registry, the Ministry of Finance, your auditor and your bank.

Client files are retained for as long as professional and legal record-keeping rules require. You can ask what we hold about you, and ask for corrections, at any time.

9. This site

This site uses Google Analytics to count visits and see which pages people read. It records things like the pages you view, roughly where you are, and what browser you use. It sets cookies to do that, and your IP address is anonymised before it is stored. We use it to understand whether the site is useful, nothing more, and it is never connected to a client file.

You can block it with any tracker blocker, or by turning on "Do Not Track" in your browser, and the site will work exactly the same.

Three other third parties are involved. A typeface is loaded from Google Fonts, which means Google receives your IP address as part of serving that request. Calls are booked through Calendly, and payments, where taken, are processed by Stripe. Both handle your details under their own terms and privacy policies, and card details are handled by Stripe and never reach us.

10. Governing law

These terms and any engagement under them are governed by Lebanese law, and the courts of Beirut have jurisdiction over any dispute.
